These Terms of Service constitute a legally binding agreement between you (Client, you, or your) and ArisGate, Inc. (ArisGate, we, us, or our), a Florida corporation, governing your access to and use of https://www.arisgate.com and all associated cybersecurity services.

Please read these Terms carefully before using our website or engaging our services. By accessing arisgate.com, submitting a contact form, requesting a free security assessment, or entering into a service agreement with ArisGate, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately discontinue use of our website and services.

2. Services Description

ArisGate, Inc. provides fully managed cybersecurity services designed exclusively for solo, small, and mid-sized Florida law firms. Our services include:

24/7 Threat Detection and Response: Continuous AI-powered and human-verified monitoring across all endpoints, identities, and network connections. Critical incidents receive a guaranteed response initiation within 30 minutes, 24 hours a day, 365 days a year.

Security Operations Centre (SOC): Human SOC analysts verify all critical alerts, investigate confirmed threats, and coordinate response. Affected systems are automatically isolated to prevent lateral movement through your firm's environment.

Endpoint Detection and Response (EDR): Powered by Huntress. Real-time detection and response across all firm devices including laptops, desktops, and servers.

Identity and Access Protection: Detects and stops account takeovers before they cause harm. Monitors for impossible travel events, credential stuffing attacks, and unauthorized access attempts. MFA enforcement across all firm accounts.

Zero Trust Secure Remote Access: Powered by Twingate. Attorneys work safely from any location without legacy VPN risk. Every connection is verified, encrypted, and scoped to only what each individual user requires.

Phishing and Email Security: Powered by IRONSCALES. Advanced AI email filtering blocks malicious messages before reaching your inbox. Business email compromise (BEC) attacks detected and neutralized. Automatic system isolation if a phishing link is clicked.

Vulnerability and Patch Management: Powered by Action1. Automated daily patching across all devices and software. Critical security updates deployed without manual intervention.

DNS and Web Filtering: Powered by Cloudflare. Blocks access to malicious websites, command-and-control servers, and harmful content at the network level before it reaches devices.

Microsoft 365 Protection and Backup: Identity protection, advanced email security, and full Microsoft 365 backup and recovery. Available on Fortress and Vault plans.

Immutable Backup and Disaster Recovery: Powered by MSP360. Ransomware-proof backups that cannot be altered or deleted once written. Full system recovery achievable within hours, not days. Available on the Vault plan.

Compliance Support: Incident Response Plan (IRP) created and maintained for your firm. Data Mapping Assessment to support Florida Bar Recommendation 25-1. Cyber insurance documentation support. Aligned with FIPA 501.171 and Florida Bar Rule 4-1.6.

Security Awareness Training: Simulated phishing tests and ongoing education modules for all firm staff. Builds a security-aware culture at every level of the practice.

Monthly Security Monitoring Reports: Plain-English monthly reports covering threat activity, detected incidents, patch status, and overall security posture.

The specific services included in your engagement are determined by the plan selected - Shield, Fortress, or Vault - as described at https://www.arisgate.com/pricing and confirmed in your executed service agreement. ArisGate reserves the right to update service components and technology partners while maintaining equivalent or superior levels of protection and providing written notice of material changes.

3. Eligibility and Authorized Use

By using arisgate.com or engaging ArisGate's services, you represent and warrant that: (a) you are at least 18 years of age; (b) you have full legal authority to enter into binding agreements under Florida law, either individually or on behalf of the law firm you represent; (c) your use of our website and services complies with all applicable Florida and federal laws and regulations; (d) all information you provide to ArisGate is accurate, current, and complete to the best of your knowledge; (e) you are authorized to make cybersecurity and technology procurement decisions on behalf of your law firm, or have obtained appropriate authorization from the firm to do so.

ArisGate's managed cybersecurity services are currently offered to law firms operating within the State of Florida. Prospective clients outside Florida may be considered on a case-by-case basis at ArisGate's sole discretion.

4. Florida Computer Crimes Act - Authorized Access

You acknowledge and agree that: (a) unauthorized access to computer systems, networks, and data is a criminal offense under the Florida Computer Crimes Act (815, Florida Statutes) and applicable federal law, including the Computer Fraud and Abuse Act (18 U.S.C. 1030); (b) any unauthorized access to ArisGate's website, internal systems, infrastructure, or client data - including any attempt to bypass, circumvent, probe, or defeat security controls - will be treated as a criminal matter and referred to the Pinellas County Sheriff's Office, the Florida Department of Law Enforcement (FDLE), and the FBI Cyber Division as appropriate; (c) all security assessments, endpoint monitoring, vulnerability scanning, and any other active security activities performed by ArisGate on client systems are conducted exclusively under explicit, documented written authorization from the client; (d) you may not authorize ArisGate to perform any security activity on any system, network, or infrastructure that you do not own or have explicit written permission to authorize testing on from the rightful owner.

5. Free Security Assessment Terms

ArisGate offers a complimentary Free Security Assessment to Florida law firms. The following terms apply: (a) the Free Security Assessment is a no-obligation, remote consultation and manual review of your firm's current cybersecurity environment, lasting approximately one hour; (b) the assessment identifies security gaps, evaluates compliance exposure under FIPA 501.171 and Florida Bar Rule 4-1.6, and provides an overview of recommended protections; (c) the assessment does not constitute a full penetration test, deep vulnerability scan, or formal legal compliance audit; (d) no payment, credit card information, or long-term commitment is required to schedule or complete a Free Security Assessment; (e) information shared during the assessment is treated as confidential and used solely to prepare our service recommendations; (f) ArisGate's assessment findings are provided in good faith based on information available at the time of consultation. ArisGate makes no warranty that the assessment will identify all existing security gaps or vulnerabilities in your environment.

6. Service Plans - Shield, Fortress, and Vault

ArisGate offers three managed cybersecurity service plans. Current pricing is published at https://www.arisgate.com/pricing.

SHIELD - $139 per user per month: Core managed protection for solo practitioners and small firms. Includes: 24/7 threat detection and endpoint response, automated daily patching, DNS and web filtering, MFA enforcement, security awareness training, and monthly monitoring reports. Onboarding fee: $250 flat per firm (one-time).

FORTRESS - $199 per user per month (Recommended): Compliance-focused protection aligned with Florida Bar Rule 4-1.6. Everything in Shield, plus: identity threat detection, zero trust secure remote access, advanced email security and BEC protection, Microsoft 365 backup and recovery, Incident Response Plan created and maintained, and cyber insurance documentation support. Onboarding fee: $500 flat per firm (one-time).

VAULT - $279 per user per month: Maximum resilience for firms with zero downtime tolerance. Everything in Fortress, plus: immutable full-system backup and disaster recovery, Data Mapping Assessment for Florida Bar Recommendation 25-1 compliance support, priority SOC escalation, and executive security reporting. Onboarding fee: $750 flat per firm (one-time).

ArisGate reserves the right to modify plan features and included technology partners while maintaining equivalent protection, and to adjust pricing after the 3-year rate lock period with a minimum of 60 days written notice to active clients.

7. Pricing, Payment, and Billing

7.1 Pricing and Rate Lock

All ArisGate service plans are priced per user, per month, in United States Dollars (USD). Monthly rates are guaranteed for three (3) years from the date your service agreement is executed. ArisGate will not increase your monthly rate during this 3-year lock period. After the 3-year period, pricing adjustments require a minimum of 60 days written notice.

7.2 Payment Terms

Standard Method: Payment in full is due prior to the commencement of services for each monthly billing cycle. Flexible Method (upon prior written agreement): 50% of the applicable monthly fee is due prior to service commencement. The remaining 50% is due upon delivery of that month's service report. One-Time Onboarding Fee: The onboarding fee for the selected plan tier is due in full prior to the commencement of any onboarding activities. All fees are stated and payable in United States Dollars.

7.3 Late Payment and Statutory Interest

Invoices not paid within 15 calendar days of the due date are considered past due. Pursuant to 687.01, Florida Statutes, unpaid balances accrue interest at the rate of 1.5% per month (18% per annum) from the original due date until the date full payment is received by ArisGate. ArisGate reserves the right to suspend active services for any account with an unpaid balance more than 30 calendar days past due without liability to the client for any service interruption during the suspension period.

7.4 Refund Policy

All fees paid to ArisGate are non-refundable except as explicitly stated in a signed service agreement or as required by applicable Florida law. Month-to-month cancellation (see Section 8) does not entitle the client to a refund of fees already paid for the current service month.

8. Month-to-Month Terms and Cancellation

ArisGate services operate on a month-to-month basis with no long-term contract requirement. The following cancellation terms apply: (a) you may cancel your ArisGate service at any time by providing written notice to info@arisgate.com or sales@arisgate.com; (b) cancellation takes effect at the end of the current billing month in which written notice is received; (c) there are no early termination penalties, cancellation fees, or minimum commitment obligations of any kind; (d) the 3-year rate lock applies to the monthly price only and does not create a minimum service term or contract obligation; (e) upon cancellation, ArisGate will conduct an orderly offboarding process including removal of all deployed security agents from authorized devices, transfer of compliance documentation owned by your firm, and delivery of a final service summary report within 10 business days; (f) ArisGate retains the right to terminate services immediately and for cause under the circumstances described in Section 18.

9. Onboarding and Service Delivery

Upon execution of a service agreement and receipt of the applicable onboarding fee, ArisGate will initiate onboarding activities with a target completion window of 48 to 72 business hours. Standard onboarding includes: deployment of security monitoring agents across all authorized firm devices; configuration of identity protection, email security, and access controls applicable to the enrolled plan; staff orientation session covering MFA setup, security protocols, and threat reporting procedures; delivery of the firm's initial security baseline report; establishment of SOC communication and incident escalation channels.

Client Responsibilities During Onboarding: You agree to provide ArisGate with necessary administrative access, device availability, and staff cooperation to complete onboarding within the agreed timeframe. Delays arising from client non-cooperation do not affect or suspend payment obligations. ArisGate is a fully managed service. No internal IT department is required.

10. Compliance Support - Scope and Limitations

ArisGate's services are designed to assist Florida law firms in implementing cybersecurity controls in alignment with: Florida Bar Rule 4-1.6 (reasonable efforts to prevent unauthorized disclosure of client information); FIPA 501.171, F.S. (reasonable security measures for personal information); Florida Bar Recommendation 25-1 (passed March 2025) - data mapping and cybersecurity maturity assessment required by March 2027; formal written Incident Response Plan required by March 2028.

Important Limitation: ArisGate's services constitute managed cybersecurity technology and advisory services - not legal advice. ArisGate, Inc. is not a law firm and does not provide legal counsel of any kind. Ultimate responsibility for regulatory compliance, adherence to the Florida Bar Rules of Professional Conduct, and all professional obligations rests solely with each law firm and its licensed attorneys. The cybersecurity controls and documentation provided by ArisGate are designed to support compliance efforts but do not guarantee any specific compliance outcome. Law firms should consult qualified Florida legal counsel for formal compliance determinations.

11. Intellectual Property

All content on https://www.arisgate.com, including but not limited to text, graphics, logos, icons, imagery, page layouts, service descriptions, pricing structures, security methodology documentation, and software code, is the exclusive intellectual property of ArisGate, Inc. and is protected under United States and international copyright, trademark, and intellectual property law.

Without ArisGate's prior written consent, you may not: copy, reproduce, or duplicate any content from arisgate.com or any ArisGate deliverable; distribute, publicly display, or commercially exploit our content, methodologies, or documentation; create derivative works based on ArisGate's proprietary service frameworks or reports; use ArisGate's name, logo, or branding in any external publication, marketing, or communication without prior written approval.

Security reports, incident summaries, compliance documentation, and all other deliverables produced during your ArisGate service engagement are the work product and property of ArisGate, Inc. until full payment for those deliverables has been received. Upon receipt of full payment, ArisGate grants your firm a limited, non-exclusive, non-transferable license to use those deliverables for internal law firm management and compliance purposes only.

12. Confidentiality

ArisGate Obligations: ArisGate will not disclose any confidential information about your firm's security environment, identified vulnerabilities, network configurations, incident details, or client records to any third party without your express written consent, except as required by Florida or federal law, a valid court order, or to prevent imminent harm to persons or systems. ArisGate will not disclose or publicize the fact that your firm is a client of ArisGate without your express written consent, except as required by law.

Your Obligations: You agree to treat ArisGate's proprietary methodologies, detection logic, security tools, pricing structures, and internal business processes as confidential information. You may not disclose, reproduce, or use ArisGate's confidential information outside of your firm's internal operations.

Attorney-Client Privilege Protection: ArisGate recognizes that Florida law firms hold privileged information protected under Florida Bar Rule 4-1.6. ArisGate's personnel are trained and instructed not to access, review, or retain any client communications, case files, legal strategies, or other privileged data during the delivery of security services. If such information is inadvertently accessed by ArisGate personnel, ArisGate will notify the firm immediately in writing and take all steps to delete or return the information without retaining copies.

13. Data Privacy and FIPA Compliance

ArisGate, Inc. complies fully with the Florida Information Protection Act (FIPA), 501.171, Florida Statutes, in all aspects of our business operations. Our data privacy practices are governed in detail by our Privacy Policy, published at https://www.arisgate.com/privacy-policy, which is incorporated into these Terms of Service by reference in its entirety.

Key FIPA commitments under these Terms: ArisGate implements and maintains reasonable security measures to protect all personal information in our possession, as required by FIPA 501.171(2), F.S.; in the event of a qualifying breach, ArisGate will notify affected individuals within 30 calendar days of determining the breach occurred, per FIPA 501.171(3), F.S.; ArisGate will notify the Florida Department of Legal Affairs if a breach affects 500 or more Florida residents, per FIPA 501.171(3)(b), F.S.; all third-party vendors processing data on ArisGate's behalf are contractually required to maintain equivalent data security standards and to report any breach to ArisGate within 10 calendar days of discovery.

Non-compliance with FIPA may result in civil penalties enforced by the Florida Attorney General's Office of up to $500,000 per violation. ArisGate maintains dedicated breach response protocols and a tested Incident Response Plan to address these obligations.

14. Disclaimer of Warranties

THE ARISGATE WEBSITE AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FLORIDA AND FEDERAL LAW.

ARISGATE, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; CONTINUOUS, UNINTERRUPTED, OR ERROR-FREE SERVICE OPERATION; COMPLETE OR ABSOLUTE SECURITY OF ANY SYSTEM, NETWORK, OR DATA ENVIRONMENT.

ARISGATE DOES NOT WARRANT OR GUARANTEE THAT: (a) ALL CYBER THREATS, VULNERABILITIES, OR SECURITY INCIDENTS WILL BE DETECTED, PREVENTED, OR COMPLETELY ELIMINATED; (b) ANY SPECIFIC REGULATORY COMPLIANCE OUTCOME, INCLUDING FLORIDA BAR RULE 4-1.6 OR FIPA COMPLIANCE, WILL BE ACHIEVED FOR ANY FIRM; (c) SERVICES WILL BE FREE FROM INTERRUPTION DUE TO EVENTS OUTSIDE ARISGATE'S REASONABLE CONTROL, INCLUDING THIRD-PARTY PLATFORM OUTAGES, NATURAL DISASTERS, TELECOMMUNICATIONS FAILURES, OR GOVERNMENTAL ACTIONS.

NO MANAGED CYBERSECURITY SERVICE OR SECURITY TECHNOLOGY PROVIDES ABSOLUTE PROTECTION AGAINST ALL THREAT VECTORS. ARISGATE'S OBLIGATION IS TO PROVIDE SERVICES WITH REASONABLE SKILL, CARE, AND DILIGENCE CONSISTENT WITH RECOGNIZED INDUSTRY STANDARDS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FLORIDA AND FEDERAL LAW, ARISGATE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS, THE SERVICES, OR YOUR USE OF ARISGATE.COM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL MONTHLY FEES ACTUALLY PAID BY YOUR FIRM TO ARISGATE IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000.00 USD).

IN NO EVENT SHALL ARISGATE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AUTHORIZED TECHNOLOGY PARTNERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY NATURE; LOSS OF REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES; LOSS, CORRUPTION, THEFT, OR UNAUTHORIZED ACCESS TO YOUR DATA OR YOUR CLIENTS' DATA; BUSINESS INTERRUPTION OR SYSTEM DOWNTIME LOSSES; COSTS OF OBTAINING SUBSTITUTE OR REPLACEMENT SERVICES; REPUTATIONAL HARM OR LOSS OF GOODWILL; REGULATORY FINES, LEGAL FEES, OR PROFESSIONAL SANCTIONS INCURRED BY YOUR FIRM.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR: FRAUD OR FRAUDULENT MISREPRESENTATION; GROSS NEGLIGENCE OR WILLFUL MISCONDUCT BY ARISGATE; ANY LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE FLORIDA OR FEDERAL LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless ArisGate, Inc. and its officers, directors, employees, contractors, and authorized technology partners from and against any and all claims, demands, lawsuits, liabilities, losses, damages, and expenses, including reasonable attorneys' fees and court costs, arising from or related to: (a) your violation of any provision of these Terms; (b) your misuse of the ArisGate website, services, or any platform deployed by ArisGate on your firm's behalf; (c) your violation of any applicable Florida or federal law, including the Florida Computer Crimes Act 815, F.S., FIPA 501.171, F.S., or the Florida Bar Rules of Professional Conduct; (d) any content, data, or information you provide to ArisGate that is inaccurate, misleading, or infringes any third-party rights; (e) unauthorized use of access credentials issued to your firm or its personnel by ArisGate; (f) your firm's failure to implement ArisGate's security recommendations following documented written notification from ArisGate.

17. Prohibited Conduct

You expressly agree that you will not: (a) access or attempt to access any ArisGate system, server, account, network, or client data without explicit written authorization from ArisGate; (b) attempt to bypass, defeat, probe, scan, or circumvent any security control, authentication mechanism, or access restriction on arisgate.com or any ArisGate infrastructure - conduct that constitutes a violation of 815, F.S.; (c) use ArisGate's services or website for any purpose that is illegal, fraudulent, or in violation of any applicable Florida or federal law; (d) transmit to ArisGate systems any virus, malware, ransomware, worm, trojan horse, or any other form of malicious code or harmful data; (e) impersonate ArisGate, any ArisGate employee or representative, or any other person or entity in any communication; (f) use ArisGate's name, logo, brand identity, or client relationship in any public statement, marketing material, or third-party solicitation without ArisGate's prior written consent; (g) reverse-engineer, decompile, disassemble, or attempt to derive source code from any ArisGate tool, platform, or proprietary software; (h) scrape, harvest, or systematically collect any content, user data, or contact information from arisgate.com by automated or manual means; (i) authorize ArisGate to conduct any security activity on any system, network, or environment that you do not own or have explicit written authorization to engage; (j) resell, sublicense, or transfer ArisGate services or deliverables to any third party without ArisGate's prior written consent.

18. Termination

18.1 Termination by You

You may terminate your ArisGate service engagement at any time by providing written notice to info@arisgate.com or sales@arisgate.com. Termination takes effect at the end of the current billing month in which notice is received, with no penalty or cancellation fee of any kind.

18.2 Termination by ArisGate for Cause

ArisGate reserves the right to suspend or immediately terminate your service without advance notice for any of the following: (a) non-payment of fees for more than 30 calendar days past the applicable due date; (b) material breach of any provision of these Terms that remains unremedied 15 days after written notice from ArisGate; (c) discovery of intentional fraudulent activity or material misrepresentation by your firm; (d) any conduct that poses an immediate and credible security risk to ArisGate's systems, personnel, or other clients; (e) any activity constituting a violation of the Florida Computer Crimes Act 815, F.S., or the Computer Fraud and Abuse Act, 18 U.S.C. 1030.

18.3 Effect of Termination

Upon termination for any reason: (a) ArisGate will conduct an orderly offboarding process including the removal of all deployed security agents from authorized devices; (b) a final service summary report will be delivered to your firm within 10 business days of the termination effective date; (c) compliance documentation and deliverables for which full payment has been received will be transferred to your firm; (d) ArisGate will retain data as required under our data retention schedule (see Privacy Policy, Section 11); (e) all outstanding fees and accrued interest remain immediately due and payable upon termination.

18.4 Survival

The following sections survive termination of these Terms and remain in full force and effect: Sections 4, 11, 12, 13, 14, 15, 16, 21, and 23.

19. AI Chatbot Terms - Advance Notice (Coming Soon)

Status Notice: The ArisGate AI Chatbot is currently in development and is not yet active on arisgate.com. These terms are published in advance to establish the governing legal framework prior to the feature's launch.

When the ArisGate AI Chatbot is deployed, the following terms will govern its use: (a) the chatbot is an informational and lead routing tool only - it does not provide legal advice, cybersecurity guarantees, or binding service commitments of any kind; (b) all information provided through the chatbot is subject to our Privacy Policy and these Terms; (c) you may not attempt to manipulate, abuse, exploit, or use the chatbot to probe ArisGate's systems or extract any unauthorized information; (d) session data collected through the chatbot is used solely to route your inquiry and is not retained beyond 30 minutes of inactivity; (e) ArisGate will never request passwords, payment credentials, Social Security numbers, or confidential client matter information through the chatbot under any circumstances. Any chatbot interaction requesting such information should be treated as fraudulent and reported immediately to soc@arisgate.com.

These terms will be updated with full operational detail prior to the chatbot's launch.

20. Client Portal Terms - Advance Notice (Coming Soon)

Status Notice: The ArisGate Client Portal is currently in development and is not yet active. These terms are published in advance to establish the governing legal framework prior to the portal's launch.

When the ArisGate Client Portal is deployed, the following terms will govern its use: (a) portal access is granted exclusively to authorized personnel of active ArisGate client firms - access credentials are personal and non-transferable; (b) you are solely responsible for maintaining the confidentiality of your portal login credentials and for all activity that occurs under your account; (c) any suspected unauthorized access to your portal account must be reported immediately to soc@arisgate.com; (d) ArisGate will never request your portal password via email, phone, text, or any other communication channel - any such request constitutes a phishing attempt and must be reported immediately; (e) portal sessions expire automatically after 30 minutes of inactivity; (f) all content within the Client Portal is confidential and may not be shared outside your firm without ArisGate's prior written consent, except as required by applicable law or your professional obligations as a licensed Florida attorney.

These terms will be updated with full operational detail prior to the portal's launch.

21. Governing Law and Dispute Resolution

21.1 Governing Law

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law provisions or principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

21.2 Exclusive Venue

Any legal action, suit, or proceeding arising out of or relating to these Terms, the ArisGate website, or any ArisGate service shall be brought exclusively in the state or federal courts of competent jurisdiction located in Pinellas County, Florida. Both parties irrevocably consent to the personal jurisdiction of those courts and waive any objection to venue in Pinellas County, Florida, including any claim that Pinellas County is an inconvenient forum.

21.3 Informal Dispute Resolution

Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve any dispute informally. The party raising the dispute must deliver written notice to the other party describing the nature of the claim and the specific relief sought. Both parties will have 30 calendar days from delivery of that written notice to reach an informal resolution before formal legal proceedings may be initiated.

21.4 Attorneys' Fees

In any legal proceeding arising from or related to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and court costs from the non-prevailing party, as permitted under applicable Florida law.

21.5 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE FLORIDA LAW, YOU AGREE THAT ANY DISPUTE WITH ARISGATE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION LAWSUIT, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST ARISGATE, INC.

22. Modifications to These Terms

ArisGate reserves the right to modify these Terms of Service at any time. Material changes will be communicated through: (a) a prominent notice posted on arisgate.com for a minimum of 15 days before the effective date of the change; (b) direct email notification to all active clients and individuals with a pending service inquiry at the time of the change; (c) an updated Last Updated date at the top of this page.

Continued use of ArisGate's website or services after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not accept the updated Terms, you must discontinue use of our services and provide written cancellation notice as described in Section 18.1.

23. Severability and Entire Agreement

23.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction in Pinellas County, Florida to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

23.2 Entire Agreement

These Terms of Service, together with ArisGate's Privacy Policy (https://www.arisgate.com/privacy-policy) and any signed service agreement, Master Service Agreement (MSA), or Statement of Work (SOW) executed between ArisGate and your firm, constitute the entire agreement between the parties with respect to the subject matter herein.

23.3 No Waiver

ArisGate's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision on any future occasion.

23.4 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without ArisGate's prior written consent. ArisGate may assign these Terms and all rights and obligations hereunder to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided that written notice is delivered to you within 30 days of such assignment.
